CONTENT AGREEMENT

This Content Agreement (“Agreement”) applies to any photo, video, audio, caption, text, file, media, or other material submitted to DigiHorse Media, SendHorses.com, Horse Lovers, HL Arena, HL Horseshoeing, Horse Lovers Travel, Horse Lovers Fails, or any other brand, website, form, email address, social media account, or submission channel operated by DigiHorse Media.

By submitting content to us and confirming your acceptance, you agree to the terms below.

  1. PARTIES

This Agreement is entered into between:

DigiHorse Media, including its websites, platforms, brands, social media channels, affiliates, partners, and related media properties (“DigiHorse Media”, “we”, “us”, or “our”);

and

the person, company, creator, owner, or authorised representative submitting the content (“Licensor”, “you”, or “your”).

  1. DEFINITIONS

“Content” means any video, image, audio, caption, written material, file, or other media submitted by you to us.

“Brands” means DigiHorse Media, SendHorses.com, Horse Lovers, HL Arena, HL Horseshoeing, Horse Lovers Travel, Horse Lovers Fails, and any current or future media channels operated by DigiHorse Media.

“Permitted Use” means the right to use, publish, edit, reproduce, distribute, display, promote, monetise, advertise, translate, adapt, create derivative works from, license, sublicense, and otherwise exploit the Content in any format or media.

“Platforms” means websites, social media platforms, newsletters, digital publications, advertising platforms, video platforms, streaming platforms, partner platforms, and any other online or offline media.

“Derivative Works” means any new work, edit, compilation, video, article, caption, graphic, advertisement, social post, campaign, or other material created from or based on the Content.

  1. CONTENT REQUIREMENTS

By submitting Content, you confirm that:

You own the Content or have full legal authority to license it to us.

The Content is original or properly authorised.

The Content does not infringe copyright, trademark, privacy rights, publicity rights, moral rights, or any other rights of any person or third party.

The Content does not contain illegal, defamatory, hateful, sexually explicit, abusive, misleading, or harmful material.

The Content does not show animal abuse, illegal activity, or dangerous behaviour in a way that promotes or encourages harm.

If the Content includes identifiable people, you have obtained their permission.

If the Content includes minors, you have obtained permission from their parent or legal guardian.

If the Content includes private property, commercial brands, music, artwork, or third-party materials, you have the necessary rights and permissions.

The Content has not already been licensed exclusively to another person, company, agency, publisher, or media platform.

  1. GRANT OF EXCLUSIVE LICENSE

You grant DigiHorse Media an exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use the Content for any editorial, commercial, promotional, advertising, social media, marketing, licensing, syndication, or business purpose.

This includes the right to:

publish the Content on our websites and social media channels;

edit, crop, caption, translate, subtitle, resize, format, or adapt the Content;

create social media posts, reels, shorts, videos, articles, graphics, advertisements, and other derivative works;

monetise the Content through platform monetisation, advertising, sponsorships, brand partnerships, licensing, syndication, or commercial campaigns;

share, license, sublicense, or distribute the Content to our partners, affiliates, clients, publishers, agencies, advertisers, and media partners;

use the Content in paid advertising, organic content, promotional materials, pitch decks, case studies, media kits, and brand campaigns;

store, archive, reuse, repost, and republish the Content at any time.

  1. OWNERSHIP

You remain the owner of the Content.

However, by entering into this Agreement, you grant DigiHorse Media exclusive rights to use and monetise the Content under the terms of this Agreement.

You agree that DigiHorse Media may continue using the Content even if you later delete the original post, remove the Content from your own account, change your account name, or stop using the platform where the Content was first published.

  1. EXCLUSIVITY

Because this is an exclusive license, you agree that you will not license, sell, assign, or grant exclusive rights in the Content to any other media company, agency, publisher, brand, licensing platform, or third party after accepting this Agreement.

You may continue to display the Content on your own personal or business social media accounts unless otherwise agreed in writing.

Any existing non-exclusive licenses must be disclosed to DigiHorse Media before this Agreement is accepted.

  1. PAYMENT

Unless a separate written agreement states otherwise, no payment, fee, royalty, revenue share, or other compensation is owed to you for our use of the Content.

If a paid licensing arrangement, creator fee, or commercial payment is agreed separately, the payment terms must be confirmed in writing by DigiHorse Media.

  1. CREDIT

DigiHorse Media may, but is not required to, credit you when publishing the Content.

You understand that credits may be limited, removed, changed, or unavailable depending on the platform, format, partner, advertiser, or campaign.

  1. WARRANTIES

You represent and warrant that:

you have full authority to enter into this Agreement;

you are at least 18 years old or have legal parental or guardian consent;

all information you provide to us is accurate;

you have obtained all rights, releases, permissions, and consents required for the Content;

our use of the Content will not violate any law or third-party right;

no person appearing in the Content has objected to the Content being used by DigiHorse Media.

  1. INDEMNITY

You agree to defend, indemnify, and hold harmless DigiHorse Media, its owners, employees, contractors, brands, affiliates, partners, clients, licensees, sublicensees, and assigns from any claim, demand, loss, damage, cost, expense, liability, or legal fee arising from:

your breach of this Agreement;

your Content;

any false or inaccurate statement made by you;

any claim that the Content infringes third-party rights;

any failure to obtain permissions from people, property owners, parents, guardians, copyright owners, or other rights holders.

  1. PERSONAL DATA AND PRIVACY

If the Content contains personal data, including names, images, voices, locations, social handles, or identifiable people, you confirm that you have the necessary consent or legal basis to provide that Content to us.

We will process personal data in accordance with our Privacy Policy.

If a person featured in the Content contacts you or asks to withdraw consent, object, or make a privacy request, you must notify us as soon as possible.

  1. RIGHT TO EDIT OR REMOVE CONTENT

DigiHorse Media may edit, modify, publish, reject, pause, delete, archive, or remove Content at its own discretion.

We are not required to publish any submitted Content.

Submitting Content does not guarantee that it will be used.

  1. TERM

This Agreement begins when you submit Content and confirm acceptance.

The rights granted to DigiHorse Media are perpetual and continue indefinitely, unless DigiHorse Media agrees otherwise in writing.

  1. TERMINATION

DigiHorse Media may terminate this Agreement or stop using the Content at any time.

Termination does not affect any rights already granted, any sublicenses already issued, any published Content, any archived Content, or any use already made before termination.

  1. ELECTRONIC ACCEPTANCE

You agree that submitting Content through our website, form, email, direct message, upload tool, or other approved submission method, together with your acceptance of this Agreement, creates a legally binding agreement.

Your electronic acceptance has the same effect as a written signature.

  1. GOVERNING LAW

This Agreement shall be governed by the laws of Greece, subject to any mandatory laws of the European Union that may apply.

Any dispute shall be handled by the competent courts of Greece, unless mandatory law requires otherwise.
